What the team says...
The Legal function is responsible for providing practical legal advice across the whole of Fairfield’s business. The team’s remit is to add value by advising on all aspects of oil and gas law and corporate/commercial law. Legal services are required throughout the whole lifecycle of oil and gas fields and as such, legal support is provided to Fairfield in several different ways.
The Legal function is always cognisant of Fairfield’s business strategy and commercial objectives, and assists the business in shaping the agreements and contracts required to achieve and underpin those objectives. With so many regulatory issues to be managed in the UKCS, the legal team must ensure that Fairfield is working in accordance with environmental, health and safety, offshore licensing and decommissioning laws and guidance, and ensure that there is compliance throughout the Company.
A range of corporate matters, company structure, financing agreements and shareholder business falls within the remit of the Company Secretary, who assists the Chairman with the management of the Board. It is essential that there is good corporate governance within Fairfield and the Company Secretary is responsible for ensuring that there is compliance with UK company law and there is a robust governance framework in place throughout the business including the appropriate levels of financial and legal authorities.
As Fairfield continues to grow and achieve further success, the legal team assists the business development team by providing advice on the legal aspects of potential acquisitions, whether corporate or asset. In the acquisition of new acreage through UKCS Licensing Rounds, the team works alongside Fairfield’s geophysicists and geologists, who identify acreage opportunities consistent with the core area strategy and facilitate the joint bidding agreements and licence applications in that process.
In addition, decommissioning law and decommissioning security agreements are an important area for Fairfield as the field operator for the Dunlin Area and the potential acquirer of mature or abandoned fields and assets. The legal team is responsible for advising on decommissioning law and existing agreements and mitigating the legal risks in this area.
Jacquelynn Craw, General Counsel and Company Secretary comments: "In a lean and fast-moving energy company like Fairfield, agreements must be turned around very quickly, and as such, the legal team must be highly responsive to changing requirements. Wherever possible, the team relies on OGUK industry model agreements and contracts which are widely-accepted throughout the oil and gas industry. However, with the major development projects, the legal agreements accessing third party infrastructure are more complex and bespoke. A key focus of the team is developing and maintaining excellent commercial relationships with other operators in the UKCS, our co-venturers and our supply chain. We aim to negotiate agreements and contracts in a collaborative way to ensure fast deal-making and to maximise value for all parties".
